1. Scope and Parties

These Terms of Use govern the use of the website at certoly.com.tr (the "Site"), operated by Gökşen Dündar under the Certoly brand.

Every visitor who uses the Site ("User") is deemed to have accepted these Terms of Use. If you do not accept them, please do not use the Site.

Customers who receive Certoly's services are additionally subject to the **User

Agreement and, where one has been concluded between the parties, the Customer

Service Agreement**. In the event of conflict, the Customer Service Agreement

prevails.

2. Purpose of the Site

The Site is operated for the purpose of presenting Certoly's services, providing information, and enabling contact.

Content on the Site is general information only. It does not constitute financial, legal, tax or investment advice and may not be interpreted as such. The User is responsible for the consequences of any decision taken in reliance on Site content.

3. Intellectual Property

All text, images, design, logos, trademarks, software and other content on the Site are the intellectual and industrial property of Certoly or of the respective rights holders.

This content may not be copied, reproduced, modified, published, distributed or used for commercial purposes without Certoly's prior written consent.

"Certoly" and the Certoly logo are trademarks belonging to Certoly.

4. User Obligations

When using the Site, the User undertakes:

• not to act in violation of applicable law,
• not to engage in conduct that obstructs, overloads or endangers the security of

the Site,

• not to access the Site by means of automated data collection tools (bots,

crawlers, scrapers, etc.) without Certoly's consent,

• not to reproduce Site content without authorisation,
• not to infringe the rights of third parties.

5. Contact Forms

Information you submit through the contact and enquiry forms on the Site is processed in accordance with the Privacy Notice displayed on the form and the explicit consent you provide.

Financial information, identity documents, passwords or other sensitive information must not be submitted through these forms. Certoly does not request such information through Site forms.

6. Availability and Changes

Certoly does not warrant that the Site will operate without interruption or error. Access may be temporarily suspended for maintenance, updates, technical failure or events of force majeure.

Certoly reserves the right to change the content and structure of the Site and these Terms of Use without prior notice. Changes take effect when published on the Site. The date of the current version appears at the top of this page.

7. Third-Party Links

The Site may contain links to third-party websites. Certoly is not responsible for the content, security or privacy practices of those sites.

8. Limitation of Liability

Certoly shall not be liable for indirect or consequential damages, or for loss of profit, revenue, business opportunity or reputation, arising from the use or inability to use the Site.

This limitation does not apply to damages arising from Certoly's wilful misconduct or gross negligence.

9. Personal Data and Cookies

The processing of personal data is governed by the Privacy Notice displayed on the Site's contact form.

No marketing, advertising, profiling or analytics cookies are used on the Site, and User behaviour is not tracked by third-party tools. Only technical cookies and similar local storage technologies (such as browser local storage) that are strictly necessary for the operation of the Site and the Portal may be used.

These technologies are used solely to maintain the session and to remember the User's preferences on their own device. Data stored in this way remains on the User's device, is not shared with third parties, and is not used for advertising or measurement purposes.

10. Governing Law and Jurisdiction

These Terms of Use are governed by Turkish law.

The Istanbul Central (Çağlayan) Courts and Enforcement Offices shall have jurisdiction over any dispute. Cases of mandatory exclusive jurisdiction are reserved.
